1 Agreement
1.1 This Agreement
This agreement includes the following documents:
(a) these terms and conditions;
(b) the Welcome Letter;
(c) the Pricing Guide;
1.2 Authorised Persons
We may use Authorised Persons to perform our obligations under this agreement.
1.3 Variation
(a) We may vary any term of this agreement at any time by giving you at least 21 days notice.
(b) If any variation has more than a nominal detrimental effect on you, then you may, within 30 days of receiving notice of the variation, terminate this agreement by giving us at least 30 days notice, and if you do, the variation will not be applied to you and you will not be liable to pay the Early Termination Fee. Your rights to terminate under this clause do not apply where the variation is a variation of the LSC Service, as described in clause 3.5, or a variation of fees and charges to reflect increases in CPI or GST as described in clauses 4.3(a) and 4.4.
2 Term
2.1 Fixed Term
This agreement starts when you order the LSC Service. Unless otherwise advised to you when you subscribe to the LSC Service, you agree to a fixed term that starts on the date we first supply you with the LSC Service and continues for the fixed term that you agree to when you subscribe.
2.2 Expiry of Fixed Term
This agreement continues after the expiry of the Fixed Term until terminated by you or us giving 30 days notice.
2.3 Refund/Return Policy
Please opt in carefully. We do not normally give refunds if you simply change your mind or make a wrong decision. Refunds will be considered on a case by case basis when you feel the membership has been wrongly described and is different to the membership outlined on the website. 3 LSC Service
3.1 LSC Service
We will provide you the LSC Service that you subscribe to.
3.2 Unauthorised use of the LSC Service
You must not copy the LSC Service or any part of it or re-sell or make available any LSC Service to be viewed by any other person without our prior written authorisation. We may suspend provision of the LSC Service if we have reasonable belief that you have breached this clause or clause 3.2. We may terminate or suspend this agreement if we reasonably believe that you have breached this clause or clause 3.2, have asked you to explain your conduct and you have failed to do so satisfactorily.
3.3 Use of LSC Service
The LSC Service is provided for private use. You must not use the LSC Service for commercial use in a Public Viewing Area.
3.4 Package change
You can upgrade, sidegrade or downgrade your Package online or by telephoning or writing to us, but you must continue to subscribe to the Entry Level Service at all times during the term of this agreement. If you decide to upgrade, sidegrade or downgrade your Package, we may either require you to keep the upgrade, sidegrade or downgrade for at least 30 days or charge you an administration fee.
3.5 Changes to LSC Service
We may vary the LSC Service at any time, including the programs, Packages, products,or content, or transmission times. If we withdraw a feature of the LSC Service which causes a more than nominal detrimental change to the LSC Service and we do not reduce the price accordingly or do not replace the feature with a similar feature, you may, within 30 days of receiving notice of the variation, terminate this agreement by giving us at least 30 days notice and if you do the variation will not be applied to you, and you will not be liable to pay the Early Termination Fee.
4 . Statement of Rights and Responsibilities
THIS STATEMENT OF RIGHTS AND RESPONSIBILITIES ("STATEMENT") AND GOVERNS OUR RELATIONSHIP WITH USERS AND OTHERS WHO INTERACT WITH LSC. BY USING OR ACCESSING LSC, YOU AGREE TO THIS STATEMENT.
4.1 Sharing Your Content and Information
You own all of the content and information you post on the LSC, and you can control how it is shared through your privacy and application settings. In addition:
(a) For content that is covered by intellectual property rights, like photos and videos ("IP content"), you specifically give us the following permission, subject to your privacy and application settings: you grant us a non-exclusive, transferable, sub-licensable, royalty-free, worldwide license to use any IP content that you post on or in connection with LSCk ("IP License"). This IP License ends when you delete your IP content or your account unless your content has been shared with others, and they have not deleted it.
When you delete IP content, it is deleted in a manner similar to emptying the recycle bin on a computer. However, you understand that removed content may persist in backup copies for a reasonable period of time (but will not be available to others).
When you add an application and use Platform, your content and information is shared with the application. We require applications to respect your privacy settings, but your agreement with that application will control how the application can use the content and information you share.
When you publish content or information using the "everyone" setting, it means that everyone, including people off of the LSC, will have access to that information and we may not have control over what they do with it.
We always appreciate your feedback or other suggestions about the LSC, but you understand that we may use them without any obligation to compensate you for them (just as you have no obligation to offer them).
4.2 Safety
We do our best to keep the LSC safe, but we cannot guarantee it. We need your help to do that, which includes the following commitments:
(a)You will not send or otherwise post unauthorized commercial communications (such as spam) on the LSC site.
(b) will not collect users’ content or information, or otherwise access the LSC, using automated means (such as harvesting bots, robots, spiders, or scrapers) without our permission.
(c)You will not engage in unlawful multi-level marketing, such as a pyramid scheme, on theLSC.
(d)You will not upload viruses or other malicious code.
(e)You will not solicit login information or access an account belonging to someone else.
(f)You will not bully, intimidate, or harass any user.
(g)You will not post content that is hateful, threatening, pornographic, or that contains nudity or graphic or gratuitous violence.
(h)You will not develop or operate a third party application containing, or advertise or otherwise market alcohol-related or other mature content without appropriate age-based restrictions.
(i)You will not offer any contest, giveaway, or sweepstakes (“promotion”) on the LSC without our prior written consent.
(k)You will not use the LSC to do anything unlawful, misleading, malicious, or discriminatory.
(l)You will not do anything that could disable, overburden, or impair the proper working of the LSC, such as a denial of service attack.
(m)You will not facilitate or encourage any violations of this Statement.
4.3 Registration and Account Security
LSC members provide their real names and information, and we need your help to keep it that way. Here are some commitments you make to us relating to registering and maintaining the security of your account:
(a)You will not provide any false personal information on the LSC, or create an account for anyone other than yourself without permission.
(b)You will not use your personal profile for your own commercial gain (such as selling your status update to an advertiser).
(c) You will not use the LSC if you are a convicted sex offender.
(d)You will keep your contact information accurate and up-to-date.
(e)You will not share your password, let anyone else access your account, or do anything else that might jeopardize the security of your account.
(f)You will not transfer your account to anyone without first getting our written permission.
(g)If you select a username for your account we reserve the right to remove or reclaim it if we believe appropriate (such as when a trademark owner complains about a username that does not closely relate to a user's actual name).
4.4 Protecting Other People's Rights
We respect other people's rights, and expect you to do the same.
You will not post content or take any action on the LSC site that infringes or violates someone else's rights or otherwise violates the law. We can remove any content or information you post on the LSC if we believe that it violates this Statement.
We will provide you with tools to help you protect your intellectual property rights. If we remove your content for infringing someone else's copyright, and you believe we removed it by mistake, we will provide you with an opportunity to appeal.
If you repeatedly infringe other people's intellectual property rights, we will disable your account when appropriate.
You will not use our copyrights or trademarks or any confusingly similar marks, without our written permission.
If you collect information from users, you will: obtain their consent, make it clear you (and not the LSC) are the one collecting their information, and post a privacy policy explaining what information you collect and how you will use it.
You will not post anyone's identification documents or sensitive financial information on the LSC.
You will not send email invitations to non-users without their consent.
4.5 Disputes
If anyone brings a claim against us related to your actions, content or information on the LSC , you will indemnify and hold us harmless from and against all damages, losses, and expenses of any kind (including reasonable legal fees and costs) related to such claim.
WE TRY TO KEEP LSC UP, BUG-FREE, AND SAFE, BUT YOU USE IT AT YOUR OWN RISK. WE ARE PROVIDING FACEBOOK "AS IS" WITHOUT ANY EXPRESS OR IMPLIED WARRANTIES INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT GUARANTEE THAT THE LSC WILL BE SAFE OR SECURE. THE LSC IS NOT RESPONSIBLE FOR THE ACTIONS, CONTENT, INFORMATION, OR DATA OF THIRD PARTIES, AND YOU RELEASE US, OUR DIRECTORS, OFFICERS, EMPLOYEES, AND AGENTS FROM ANY CLAIMS AND DAMAGES, KNOWN AND UNKNOWN, ARISING OUT OF OR IN ANY WAY CONNECTED WITH ANY CLAIM YOU HAVE AGAINST ANY SUCH THIRD PARTIES. WE WILL NOT BE LIABLE TO YOU FOR ANY LOST PROFITS OR OTHER CONSEQUENTIAL, SPECIAL, INDIRECT, OR INCIDENTAL DAMAGES ARISING OUT OF OR IN CONNECTION WITH THIS STATEMENT OR THE LSC , EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR AGGREGATE LIABILITY ARISING OUT OF THIS STATEMENT OR THE LSC WILL NOT EXCEED THE GREATER OF ONE HUNDRED DOLLARS ($100) OR THE AMOUNT YOU HAVE PAID US IN THE PAST TWELVE MONTHS. APPLICABLE LAW MAY NOT ALLOW THE LIMITATION OR EXCLUSION OF LIABILITY OR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE LIMITATION OR EXCLUSION MAY NOT APPLY TO YOU. IN SUCH CASES, THE LSC’S LIABILITY WILL BE LIMITED TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW.
4.6 Special Provisions Applicable to Users Outside of Australia & New Zealand
We strive to create a global community with consistent standards for everyone, but we also strive to respect local laws. The following provisions apply to users outside Australia & New Zealand:
You consent to having your personal data transferred to and processed in New Zealand.
5 Your Obligations
5.1 Billing
You must provide us with accurate and complete billing information including your legal name, address and telephone number.
5.2 Fees and charges
You must pay us all fees, charges and taxes that apply to the LSC Services by the due date. If you think we have made a mistake, you must notify us immediately. Once that mistake has been remedied, we will send you another statement and you must pay the amended amount by the due date. If you do not pay the amounts that you owe by the due date we may suspend your access to the LSC Service or terminate this agreement immediately by notice to you.
We may charge you the following fees specified in the Pricing Guide:
(a) a late fee if you do not pay your account by the due date;
(b) a reconnection fee to reactivate your LSC Service if it has been suspended because you have not paid your account by the due date or because you breached this agreement; and/or
(c) a statement fee if we provide you with a monthly statement.
5.3 Variation to fees and charges
(a) We may increase our fees and charges once in each calendar year of the term of this agreement to reflect any increase in the Consumer Price Index by providing you with 21 days notice of the increase, and you may not terminate this agreement because we have done so.
(b) We may make other changes to our fees and charges by giving you 21 days notice of the changes and clause 1.3(b) applies.
5.4 GST
Fees and charges specified in this agreement include goods and services tax at the rate of 10%, where applicable. If the rate of GST is varied at any time, fees and charges will be adjusted as applicable without notice to take account of this variation, and you may not terminate this agreement because of this variation. We will provide a tax invoice to you within 28 days of your request to us.
5.5 Intellectual Property
You must not publish or use, without our prior written consent, any trademark, trade name, logo or service mark of ours. You indemnify us against any claim, loss or damages arising out of any unauthorised use by you of any third party intellectual property rights in relation to the LSC Service.
5.6 Security
You must take reasonable steps not to disclose any usernames, passwords, passcodes (including but not limited to PINs) or account information to unauthorised persons. If you do disclose such information to an unauthorised person, you must immediately notify us. Until you notify us, you will be responsible for any unauthorised use of the LSC Service facilitated by the use of disclosed information. You will be liable for any transaction that is initiated from Equipment provided to you by us.
5.7 Security Policy

(a) We may terminate or suspend this agreement if we have reasonable grounds to believe that the account will not be paid or that Equipment will not be returned following reasonable
6 Liability
6.1 No Liability for Content
We do not warrant or represent that the content of the LSC Service is suitable for viewing by any particular audience.We do not accept responsibility for the accuracy of information contained in the LSC members site .
6.2 No Warranties on Service/Equipment
Nothing contained in this agreement excludes, restricts or modifies any rights you have under the Trade Practices Act and Fair Trading Laws which cannot be lawfully excluded or limited. For example, your rights include an assurance from us that any services provided are provided with due care and skill and that any materials supplied in connection with those services are reasonably fit for their purpose and that any goods supplied are of merchantable quality. Other than as referred to above or expressly stated in this agreement, LSC does not make any promises or warranties, whether express or implied, about the LSC Services or any Equipment.
6.3 Damage to your equipment
We do not accept any liability for any damage to your equipment which may occur due to using the LSC Service, except where we have breached any of your rights under the Trade Practices Act or Fair Trading Laws which cannot be lawfully excluded or limited. (b) We may make other changes to our fees and charges by giving you 21 days notice of the changes and clause 1.3(b) applies.
6.4 Indirect Loss
Except where we have breached any of your rights under the Trade Practices Act or Fair Trading Laws which cannot be lawfully excluded, we do not accept any liability in contract, negligence or on any other basis for any indirect loss, consequential loss, special loss, economic loss, loss of data, loss of profits, loss of income, loss of revenue or loss of goodwill, arising out of or connected in any way with this agreement.
7 Security and Customer Information
When you apply for and use the LSC Service, we will collect personal information about you (that is, information from which your identity reasonably can be ascertained). The personal information we collect about you will include your name, address, contact details (including your telephone numbers and email address), information for identification purposes, information about your credit card or bank account details and information to help us assess your credit application where relevant. We will also hold information relating to the provision of the LSC Services to you or that you provide us, including information on any person you authorise to act on your behalf in your communications with us or that you otherwise give us in connection with the agreement or any products and services we provide to you.
7.1 Purpose of Collection
We need to collect personal information about you for several reasons. This includes setting up and managing your account, so we can provide you with the products and services you have requested, and so we can manage our relationship with you as a customer. If you don’t provide us with your personal information, we won’t be able to provide you with the AUSTAR TV Service and might not be able to provide you with other products and services. We also need to collect personal information so that we can keep you informed about the LSC Services, and other products and services that may be of interest to you.
7.2 Use and Disclosure
We will use and disclose your personal information for purposes permitted by the Privacy Act 1988 (Cth) and purposes that you consent to under this clause. You consent to us using and disclosing your personal information:
(a) to enable us to perform our obligations to you under the agreement;
(b) to enable us to ensure that you perform your obligations under the agreement;

You may request that your personal information not be used or disclosed for marketing or promotional purposes by:

You may also notify us of your marketing preferences, for example if you would like only to receive certain types of promotional material (eg. about the services provided by LSC) or by certain delivery methods (eg. by SMS, but not by letter).

8 Suspension and Termination
8.1 Suspending the Service or Terminating this agreement
(a) We may suspend the LSC Service or terminate this agreement:
(i) if you breach this agreement and, if the breach is remediable, you do not remedy the breach within a reasonable period of receiving notice from us requiring you to do so;
(ii) if we have reasonable belief that you have engaged in conduct in relation to the LSC Services, which is fraudulent
or unlawful, or which maligns or may cause us other harm, or involves threats or causes harm or distress to any of our employees or Authorised Persons;
(iii) if we are unable to continue to provide any of the LSC Services to you due to legal, regulatory or technical reasons; or
(iv) as specifically permitted under any other term of this agreement. If we do suspend the LSC Service or terminate this agreement for one of these reasons, we will notify you. Where we have suspended the LSC Service pursuant to these events described in paragraph (i) and/or (ii) above you will still need to pay us fees for any period of that suspension. We will not keep the service suspended for longer than 6 calendar months.
(b) You may terminate this agreement prior to the expiry of the Fixed Term:
(i) as specifically permitted under any other term of this agreement; or
(ii) by providing us 30 days’ written notice and paying the Early Termination Fee of $400 or, if less, the monthly subscription fees for the unexpired period of your Fixed Term.
(c) You or we may terminate this agreement once the Fixed Term has expired by giving 30 days notice to the other. No Early
Termination Fee will apply.
9 Miscellaneous
9.1 Governing Law
This agreement shall be governed by and construed in accordance with the laws of the Commonwealth of Australia and the state or territory in which your Premises are situated.
9.2 Assignment
You must not transfer this agreement or any of your rights under it to anyone else without prior written consent from AUSTAR, which will not be refused without good reason. LSC may transfer this agreement or our rights under it to a third party, but only if such transfer does not cause material detriment to you.
9.3 Commissions
We may pay a commission to any person who introduces you to us.
9.4 Severance
If any provision in this agreement is or shall become void, unenforceable or illegal it shall not affect the other provisions of this agreement and the remainder of this agreement shall have full force and effect.
10 Notice
10.1 How we give notice to you
We may give notices to you under this agreement by way of SMS, email, facsimile, letter or publication or on our web site. You can unsubscribe from electronic marketing communications (eg. emails and SMS) by using the unsubscribe facility in the message. However, if you use this type of unsubscribe facility, we will understand it to be a request from you to unsubscribe from electronic communications only (unless you indicate otherwise).

11 Definitions
11.1 In this agreement, the following words have these meanings:
"agreement" means this agreement as more particularly described in clause 1.1.
"LSC" means the LIFE SUCCESS CLUB (ABN:
"LSC Services" means the Life Success Club Service
"Authorised Persons" means our contractors, agents or suppliers who we use from time to time to perform the LSC Services.
"Consumer Price Index" means the Consumer Price Index (all groups – weighted average of eight capital cities) published by the Australian Bureau of Statistics.
"Content" means anything you post on the LSC that would not be included in the definition of "information."
"Data" means content and information that third parties can retrieve from the LSC or provide to the LSC through Platform.
"Post" means post on the LSC or otherwise make available to us (such as by using an application).
"Use" means use, copy, publicly perform or display, distribute, modify, translate, and create derivative works of.
"Active registered user" we mean a user who has logged into the LSC at least once in the previous 30 days.
"Early Termination Fee" means the early termination fee
"Entry Level Service" means the entry level subscription service provided to you by us from time to time, continued subscription to which is necessary to receive the LSC Service.
"Equipment" means any equipment (including replacement equipment) supplied by us to you in connection with the LSC Services including (if supplied to you) an MP3 player or equivalent device.
"Fair Trading Laws" means any fair trading or consumer affairs laws applicable to the supply of the Equipment and the LSC Services in the state or territory in which your Premises are situated.
"Fixed Term" means the fixed term of this agreement, as described in clause 2.1.
"GST" means any value-added, consumption, turnover or similar tax, impost or duty on goods and/or services.
"Pricing Guide" means our packaging and price guide which is available on our website at www.lifesuccessclub.com and a copy of which we provide to you when you subscribe to the LSC Service.
"Public Viewing Area" means any public area outside your private Premises and includes, without limitation, licensed and registered clubs, hotels, motels, offices, hospitals and institutional and educational centres.
"Trade Practices Act" means the Trade Practices Act 1971 (Cth)
"Welcome Letter" means the welcome letter and associated documentation we provide to you when you subscribe to the LSC Service.
"we", "us" and "our" means IFE SUCCESS CLUB PTY LTD

Life Success Club cares about your privacy
We appreciate that your privacy is important to you. LSC will continue to protect the personal information you entrust to us. LSC has compiled this brochure to advise you of how your personal information is handled including how it collects, holds, uses and discloses that information.
National Privacy Principles
LSC is committed to protecting your personal information. We comply with the National Privacy Principles (NPPs) set out in the Privacy Act 1988. The NPPs regulate the way that organisations can collect, use, keep secure and disclose personal information. It also gives individuals the right to know what information an organisation holds about them and a right to correct that information if it is wrong.
What information do we collect and why?
The type of information we collect from you will depend on what LSC products and services you use. Generally we collect personal information directly from you, for example when you subscribe to an LSC service over the internet.
When you become an LSC customer you will need to provide certain details so that we can establish and manage your customer account. This includes information such as your name, contact details and information for identification purposes. LSC may also request your credit card or bank account details and information to help us assess your credit application where this is relevant. LSC may offer third party products or services and we may collect information about you in order to provide you with the products, services or information requested.
Use of Information by Life Success Club
LSC may use your information for purposes which you would reasonably expect, such as managing your account, billing, contacting you or providing customer support. LSC also collects and uses information about your use of our services for monitoring and evaluation purposes so that we can improve and enhance our products and services.
LSC may use your information to notify you about new services or promotions from time to time. If at any stage you no longer wish to receive these communications from LSC you can contact us to let us know.
What information do we disclose?
We may disclose information where you would reasonably expect us to do so, when you have consented or where the disclosure is for an activity related to the purpose for which your information was collected. For example, LSC may provide your information to organisations associated with the provision of LSC’s services, such as other Providers of Personal Development products, for marketing and analysis purposes. LSC may disclose your personal information to a credit reporting agency for the purpose of assessing your credit application and maintaining a credit information file about you. The disclosures will include information relating to your credit application including identifying information about you, the fact you have applied for credit (and the amount). We may also subsequently disclose information about your credit relationship with us to a credit reporting agency. LSC may disclose your personal information to government agencies for the purpose of investigating and resolving disputes or complaints concerning your use of our services. LSC will not disclose your personal information to any third parties, other than those who are contracted to us to keep the information confidential. We use contractors to perform certain services on our behalf, for example customer service support, sales activities, and for mailing purposes. There may be some exceptional circumstances for disclosing your information, such as when there are grounds to believe that the disclosure is necessary to prevent a threat to life or health, or for law enforcement purposes.
Security and quality of your information
We take all reasonable steps to ensure that the personal information we collect, use or disclose is accurate, complete, up-to-date and stored securely.
How you can access your personal information
You are entitled to access personal information LSC holds about you and to amend that information if it is incorrect. To do this, please contact us and include your account details.
Complaints about breaches of privacy
If you believe that your privacy has been breached by LSC, you can lodge a complaint by writing to the address noted below and all attempts will be made to resolve the matter. If you are not satisfied with the outcome you may refer the matter to the Privacy Commissioner’s Office.

Life Success Club is dedicated to keeping your details private. Any information we collect in relation to you is kept strictly secured. We do not pass on, sell or swap any of your personal details with anyone. We use this information to identify your orders, provide you with our monthly newsletter (if applicable) and to personalise your shopping experience with us. Life Success Club uses cookies to allow you to login to your account, maintain a shopping cart and to purchase items in your shopping cart. Cookies sent to your computer from Life Success Club only last while you’re browsing our website. We do not store persistent cookies on your computer. Cookies also allow us to give you a more personalised shopping experience by displaying products that interest you throughout our product pages, thus providing you with a more friendly, interesting and enjoyable shopping experience.
Whenever you use our web site, or any other web site, the computer on which the web pages are stored (the Web server) needs to know the network address of your computer so that it can send the requested web pages to your Internet browser. The unique network address of your computer is called its "IP address," and is sent automatically each time you access any Internet site. From a computer's IP address, it is possible to determine the general geographic location of that computer but otherwise it is anonymous.
We do not keep a record of the IP addresses from which users access our site except where you have specifically provided us with information about yourself, in which case we also record your IP address for security purposes. An example of this would be when proceeding to a checkout to finalise an order you may wish to make. After completing the form provided, your IP address will be stored along with a transaction number that allows us to track your order.
